اتفاقية تثبيت واستخدام وكيل Cliprz للمزامنة
الإصدار 1.1
بتثبيتك لوكيل Cliprz للمزامنة ("الوكيل") وتفعيله، فإنك بصفتك صاحب المنشأة أو ممثلها المفوّض ("التاجر") توافق على ما يلي:
1. حقوق التاجر في البيانات والتفويض
البيانات التجارية التي يُدخلها التاجر أو ينشئها أو يملك حق استخدامها، والمخزّنة في قاعدة بيانات برنامجه المحاسبي، تبقى له أو لأصحاب الحقوق فيها بحسب الأحوال. ولا تمتد الحماية المقررة لقاعدة البيانات بوصفها مصنفاً إلى محتواها، وفق المادة 2/ب/10 من قانون حماية حقوق المؤلف والحقوق المجاورة الصادر بالمرسوم التشريعي رقم 62 لعام 2013. ويحق للتاجر، بوصفه مرخصاً له باستخدام قاعدة البيانات، القيام بالأعمال الضرورية للوصول إلى محتواها واستخدامه، وفق المادة 40/ج من القانون ذاته.
ويأذن التاجر للوكيل، بوصفه أداة تقنية تعمل لحسابه وتحت سلطته، بتنفيذ عمليات القراءة والنقل المحددة في هذه الاتفاقية، واللازمة لمزامنة البيانات مع متجره الإلكتروني على منصة Cliprz.
2. الترخيص
يقرّ التاجر بأنه يملك ترخيصاً سارياً لبرنامجه المحاسبي، وبأن له الحق في منح هذا التفويض، ويتحمّل وحده مسؤولية التزامه بشروط ترخيص ذلك البرنامج.
3. نطاق البيانات
في الوضع التلقائي، المعدّ مسبقاً لكل برنامج محاسبي مدعوم، يقرأ الوكيل بيانات الأصناف حصراً: الاسم والرمز والباركود والتصنيف والوحدة والعلامة التجارية، وأسعار البيع بمستوياتها، وأسعار التكلفة، والكميات المتوفرة، والعملات وأسعار الصرف اللازمة لاحتساب الأسعار. ولا يعرض Cliprz أسعار التكلفة لزبائن المتجر، إلا إذا اختارها التاجر بنفسه أساساً لسعر البيع. ولا يقرأ الوكيل في هذا الوضع القيود المحاسبية أو الأرصدة أو الفواتير أو بيانات العملاء أو الموردين أو الموظفين أو المستخدمين.
وفي الوضع اليدوي، يقرأ الوكيل الجداول والأعمدة التي يحددها التاجر أو من يفوّضه فقط، ويتحمّل التاجر وحده مسؤولية هذا الاختيار، بما في ذلك التأكد من حقه في نقل تلك البيانات. ولأن هذا الوضع قد يسمح باختيار بيانات خارج نطاق بيانات الأصناف، لا يحفظ الوكيل أول ربط يدوي إلا بعد أن يقرّ التاجر بذلك صراحةً.
وينقل الوكيل هذه البيانات عبر اتصال مشفّر (HTTPS) إلى متجر التاجر على منصة Cliprz.
4. طريقة الاتصال وحدوده
يتصل الوكيل بقاعدة البيانات بطريقة يختارها التاجر: إما بصلاحيات حساب ويندوز الذي يعمل عليه، وإما بحساب SQL Server يُدخل التاجر بياناته بنفسه. وفي الحالتين تكون الصلاحيات ممنوحة من التاجر وتحت تحكمه. ولا يستخرج الوكيل من البرنامج المحاسبي أو ملفاته أو إعداداته أي كلمة مرور أو بيانات اتصال.
ولا تُرسَل بيانات الدخول إلى قاعدة البيانات، بما فيها اسم المستخدم وكلمة المرور، إلى خوادم Cliprz ولا تُخزَّن عليها، وتبقى محفوظة على جهاز التاجر مشفّرةً بآليات الحماية في نظام ويندوز.
ويقتصر الوكيل على تنفيذ استعلامات القراءة (SELECT)، وقد يستعين فيها بطرق العرض (Views) والدوالّ الموجودة أصلاً في قاعدة البيانات دون تعديلها. فلا يضيف بيانات ولا يعدّلها ولا يحذفها، ولا يُنشئ أو يعدّل أي جدول أو إجراء أو دالة أو مشغّل أو أي عنصر آخر في قاعدة البيانات.
ولا يتضمن هذا الإصدار من الوكيل أي ميزة للكتابة في قاعدة البيانات. وإذا أُضيفت ميزة كهذه مستقبلاً فستكون اختيارية، ولن تُفعَّل إلا بموافقة منفصلة وصريحة من التاجر.
5. بنية قاعدة البيانات
في الوضع التلقائي، لا يستخدم الوكيل من بنية قاعدة البيانات إلا القدر الضروري للوصول إلى البيانات المحددة في البند 3، ويحوّلها إلى نموذج بيانات Cliprz الخاص قبل نقلها. وفي الوضع اليدوي، تُنقل الأعمدة التي يختارها التاجر بأسمائها. ولا ينشر Cliprz أي وصف لبنية قاعدة البيانات، ولا يتيحه لأي طرف خارجي.
6. عدم المساس بالبرنامج المحاسبي
لا يعدّل الوكيل ملفات البرنامج المحاسبي ولا يفك ترجمتها أو تجميعها، ولا يتعامل مع أنظمة الترخيص أو الحماية الخاصة به، ولا يحتاج إلى تشغيل البرنامج ليعمل.
7. المعلومات التقنية التي يرسلها الوكيل
إضافة إلى البيانات المحددة في البند 3، لا يرسل الوكيل إلى Cliprz إلا المعلومات التقنية اللازمة لتشغيل الخدمة، وهي: اسم الجهاز كما يحدده التاجر عند الربط، وبصمة مشفّرة للجهاز تُشتق من بعض مكوّناته دون إرسال قيمها الأصلية، ورقم إصدار الوكيل، ومعرّف مشفّر لمصدر البيانات يُشتق من اسم الخادم وقاعدة البيانات دون إرسال الاسمين، وحالة الاتصال والمزامنة، وبيانات موافقة التاجر على هذه الاتفاقية. ولا يرسل الوكيل اسم مستخدم ويندوز، ولا اسم خادم قاعدة البيانات أو اسم قاعدة البيانات.
8. التحديثات
يتحقق الوكيل دورياً من توفر إصدار جديد عبر خوادم توزيع إصدارات Cliprz على منصة GitHub، دون إرسال أي معلومات تعريفية عن التاجر أو جهازه. ولا يُثبَّت أي تحديث إلا بعد أن يطلبه التاجر ويوافق عليه نظام ويندوز. ويتحقق الوكيل قبل التثبيت من التوقيع الرقمي لـ Cliprz على التحديث، ويرفض أي تحديث غير موقّع أو معدّل أو أقدم من الإصدار المثبّت.
9. السجلات الفنية
ينشئ الوكيل على جهاز التاجر سجلات فنية عن حالة الاتصال والمزامنة والأخطاء، ويحتفظ بها مدة 14 يوماً ثم يحذفها تلقائياً. ولا تتضمن هذه السجلات كلمات المرور، ويُحجب منها اسم المستخدم في رسائل أخطاء الدخول. ولا يرفع الوكيل هذه السجلات إلى أي خادم، ولا تصل إلى Cliprz إلا إذا شاركها التاجر بنفسه مع فريق الدعم.
10. استخدام البيانات
يستخدم Cliprz البيانات المزامَنة لتقديم الخدمة للتاجر وتشغيل متجره والخدمات التي يفعّلها بنفسه فقط. ولا يبيعها لأي طرف، ولا يستخدمها لتدريب نماذج الذكاء الاصطناعي أو لأي غرض مستقل عن تقديم الخدمة للتاجر، إلا بموافقة منفصلة وصريحة منه.
11. التوافق
لا يضمن Cliprz استمرار التوافق مع جميع إصدارات البرامج المحاسبية، ولا مع التغييرات التي يجريها مزوّدوها على قواعد البيانات أو بنيتها. وقد تتطلب هذه التغييرات تحديث إعدادات الوكيل أو إصدار نسخة جديدة منه. ولا يتجاوز Cliprz وسائل الحماية أو القيود التقنية للبرامج المحاسبية للمحافظة على التوافق.
12. الاستقلالية
Cliprz منتج مستقل، غير تابع لأي شركة برمجيات محاسبية ولا معتمد منها. وأسماء البرامج المحاسبية المذكورة علامات تجارية لأصحابها، وتُذكر لبيان التوافق فقط.
13. الإيقاف والحذف
يحق للتاجر إيقاف المزامنة في أي وقت بإلغاء ربط الجهاز من لوحة تحكم متجره أو بإلغاء تثبيت الوكيل، ويُسأل عند إلغاء التثبيت إن كان يريد حذف إعدادات الوكيل المحفوظة على جهازه. ويحق له طلب حذف بياناته المزامَنة من Cliprz عبر قنوات الدعم، وفق سياسة حذف البيانات المنشورة على cliprz.net.
14. حدود المسؤولية
يتحمّل Cliprz مسؤولية التزام الوكيل بالبنود من 3 إلى 10، فيما عدا اختيارات التاجر في الوضع اليدوي. ولا يكون Cliprz مسؤولاً عن أي خلاف بين التاجر ومزوّد برنامجه المحاسبي بشأن شروط الترخيص، ولا عن الأعطال أو انقطاع الاتصال أو عدم توفر البيانات الناشئ عن البرنامج المحاسبي أو خادم قاعدة البيانات أو نظام التشغيل أو الشبكة أو الجهاز، أو عن تغييرات يجريها مزوّد البرنامج المحاسبي على بنية قاعدة البيانات، ما لم يكن الضرر ناتجاً مباشرةً عن خطأ في الوكيل يقع ضمن مسؤولية Cliprz.
15. ملكية الوكيل
الوكيل بكافة مكوّناته ملك لـ Cliprz، ومحمي بموجب قانون حماية حقوق المؤلف والحقوق المجاورة. ولا يجوز للتاجر أو لأي طرف آخر نسخه أو تعديله أو فك ترجمته أو تجميعه، إلا في الحدود التي يسمح بها القانون صراحةً.
16. القانون الواجب التطبيق والإحالة
تخضع هذه الاتفاقية للقوانين النافذة في الجمهورية العربية السورية، وتُعد جزءاً من شروط خدمة Cliprz المنشورة على cliprz.net، وتُطبَّق بنودها فيما يخص الوكيل عند التعارض.
عبارة الموافقة التي يؤكّدها التاجر في الوكيل قبل المتابعة: «قرأت الاتفاقية وأوافق عليها، وأقرّ بأنني صاحب المنشأة أو مفوّض عنها.»
ما الذي تغيّر عن الإصدار 1.0
لم يُحذف أي التزام من الإصدار السابق. وأضاف الإصدار 1.1 ما يلي:
- بنود جديدة توضّح المعلومات التقنية التي يرسلها الوكيل (البند 7)، وطريقة التحديث والتحقق من التوقيع الرقمي (البند 8)، والسجلات الفنية ومدة الاحتفاظ بها (البند 9)، واستخدام البيانات (البند 10)، والتوافق مع البرامج المحاسبية (البند 11).
- النص صراحةً على أن بيانات الدخول إلى قاعدة البيانات لا تُرسَل إلى Cliprz (البند 4).
- إقرار صريح من التاجر قبل حفظ أول ربط يدوي (البند 3).
- صياغة أدق لحقوق التاجر في البيانات (البند 1)، وتوسيع مسؤولية Cliprz لتشمل البنود من 3 إلى 10 (البند 14).
عند الترقية إلى الإصدار 2.3.0 من الوكيل، يعرض الوكيل هذا النص ويطلب موافقة جديدة قبل متابعة المزامنة. والنص السابق منشور على صفحة الإصدار 1.0 من الاتفاقية.

عند موافقة التاجر، يسجّل الوكيل رقم الإصدار ووقت الموافقة وبصمة النص، ويُحفظ السجل نفسه مع بيانات الجهاز في حساب المتجر على Cliprz. تُحسب البصمة من نص الاتفاقية العربي كما يعرضه الوكيل، بترميز UTF-8، بعد توحيد نهايات الأسطر وحذف المسافات من بدايته ونهايته. وأي تغيير في النص، ولو بحرف واحد، يغيّر البصمة.
عند تعديل الاتفاقية، نرفع رقم الإصدار، ويعرض الوكيل النص الجديد على التاجر ويطلب موافقته مجدداً، وتبقى النسخ السابقة منشورة للرجوع إليها.

Cliprz Sync Agent Installation and Use Agreement
Version 1.1
By installing and activating the Cliprz Sync Agent (the "Agent"), you, as the owner of the business or its authorized representative (the "Merchant"), agree to the following:
1. The Merchant's rights in the data, and authorization
The business data that the Merchant enters, creates or has the right to use, and that is stored in the database of its accounting software, remains the Merchant's, or belongs to those who hold rights in it, as the case may be. The protection granted to a database as a work does not extend to its content, under Article 2(b)(10) of the Law on the Protection of Copyright and Related Rights, issued by Legislative Decree No. 62 of 2013. As a licensee of the database, the Merchant has the right to perform the acts necessary to access and use its content, under Article 40(c) of the same law.
The Merchant authorizes the Agent, as a technical tool working on the Merchant's behalf and under its authority, to perform the reading and transfer operations defined in this agreement that are necessary to sync data with the Merchant's online store on the Cliprz platform.
2. License
The Merchant confirms that it holds a valid license for its accounting software and has the right to grant this authorization. The Merchant alone is responsible for complying with the license terms of that software.
3. Scope of data
In automatic mode, preconfigured for each supported accounting program, the Agent reads product data only: name, code, barcode, category, unit and brand; sale prices at all their levels; cost prices; available quantities; and the currencies and exchange rates needed to calculate prices. Cliprz does not show cost prices to store customers, unless the Merchant itself chooses them as the basis for the sale price. In this mode, the Agent does not read accounting entries, balances, invoices, or data about customers, suppliers, employees or users.
In manual mode, the Agent reads only the tables and columns that the Merchant, or someone the Merchant authorizes, selects. The Merchant alone is responsible for that selection, including making sure it has the right to transfer that data. Because this mode may allow selecting data outside the scope of product data, the Agent saves the first manual mapping only after the Merchant explicitly acknowledges this.
The Agent transfers this data over an encrypted connection (HTTPS) to the Merchant's store on the Cliprz platform.
4. Connection method and limits
The Agent connects to the database using a method the Merchant chooses: either with the permissions of the Windows account it runs under, or with a SQL Server account whose credentials the Merchant enters itself. In both cases, the permissions are granted by the Merchant and remain under its control. The Agent does not extract any password or connection details from the accounting software, its files or its settings.
The database login details, including the username and password, are not sent to or stored on Cliprz servers. They remain on the Merchant's computer, encrypted using the protection mechanisms of Windows.
The Agent only runs read queries (SELECT), and may use views and functions that already exist in the database, without modifying them. It does not add, change or delete data, and does not create or modify any table, procedure, function, trigger or other object in the database.
This version of the Agent has no feature that writes to the database. If such a feature is added in the future, it will be optional and will only be enabled with the Merchant's separate and explicit consent.
5. Database structure
In automatic mode, the Agent uses only the part of the database structure that is necessary to reach the data defined in Clause 3, and converts it into Cliprz's own data model before transferring it. In manual mode, the columns the Merchant selects are transferred under their own names. Cliprz does not publish any description of the database structure and does not make it available to any third party.
6. No interference with the accounting software
The Agent does not modify the files of the accounting software, does not decompile or disassemble them, does not interact with its licensing or protection systems, and does not need the software to be running in order to work.
7. Technical information the Agent sends
In addition to the data defined in Clause 3, the Agent sends Cliprz only the technical information needed to operate the service: the device name as set by the Merchant when linking; a hashed fingerprint of the device, derived from some of its components without sending their original values; the Agent version number; a hashed identifier for the data source, derived from the server and database names without sending those names; the connection and sync status; and the record of the Merchant's acceptance of this agreement. The Agent does not send the Windows username, the database server name or the database name.
8. Updates
The Agent periodically checks whether a new version is available through Cliprz's release distribution servers on the GitHub platform, without sending any identifying information about the Merchant or its computer. No update is installed until the Merchant requests it and Windows approves it. Before installing, the Agent verifies Cliprz's digital signature on the update, and rejects any update that is unsigned, has been modified, or is older than the installed version.
9. Technical logs
The Agent creates technical logs on the Merchant's computer about connection status, syncing and errors. It keeps them for 14 days and then deletes them automatically. These logs do not contain passwords, and the username is masked in login error messages. The Agent does not upload these logs to any server, and they reach Cliprz only if the Merchant shares them with the support team itself.
10. Use of data
Cliprz uses synced data only to provide the service to the Merchant, run the Merchant's store, and operate the services the Merchant enables itself. It does not sell the data to anyone, and does not use it to train artificial intelligence models or for any purpose independent of providing the service to the Merchant, except with the Merchant's separate and explicit consent.
11. Compatibility
Cliprz does not guarantee continued compatibility with all versions of accounting programs, or with changes their providers make to the databases or their structure. Such changes may require updating the Agent's settings or releasing a new version of it. Cliprz does not circumvent the protection measures or technical restrictions of accounting programs to maintain compatibility.
12. Independence
Cliprz is an independent product. It is not affiliated with, or endorsed by, any accounting software company. The names of accounting programs mentioned are trademarks of their respective owners and are used only to state compatibility.
13. Stopping and deletion
The Merchant may stop syncing at any time by unlinking the device from its store dashboard or by uninstalling the Agent. When uninstalling, the Merchant is asked whether to delete the Agent settings saved on its computer. The Merchant may request deletion of its synced data from Cliprz through the support channels, in accordance with the data deletion policy published on cliprz.net.
14. Limitation of liability
Cliprz is responsible for the Agent's compliance with Clauses 3 to 10, except for the Merchant's own selections in manual mode. Cliprz is not responsible for any dispute between the Merchant and its accounting software provider regarding license terms; for failures, loss of connection or unavailability of data arising from the accounting software, the database server, the operating system, the network or the computer; or for changes the accounting software provider makes to the database structure, unless the damage results directly from a fault in the Agent that falls within Cliprz's responsibility.
15. Ownership of the Agent
The Agent, in all its components, is owned by Cliprz and is protected under the Law on the Protection of Copyright and Related Rights. Neither the Merchant nor any other party may copy, modify, decompile or disassemble it, except to the extent expressly permitted by law.
16. Governing law and reference
This agreement is governed by the laws in force in the Syrian Arab Republic. It forms part of the Cliprz Terms of Service published on cliprz.net, and its clauses prevail in matters concerning the Agent in case of conflict.
Acceptance statement the Merchant confirms in the Agent before continuing: "I have read the agreement and accept it, and I confirm that I am the owner of the business or authorized to act on its behalf."
What changed from version 1.0
No commitment from the previous version was removed. Version 1.1 adds the following:
- New clauses on the technical information the Agent sends (Clause 7), how updates work and how their digital signature is verified (Clause 8), technical logs and how long they are kept (Clause 9), use of data (Clause 10), and compatibility with accounting programs (Clause 11).
- An explicit statement that database login details are not sent to Cliprz (Clause 4).
- An explicit acknowledgement from the Merchant before the first manual mapping is saved (Clause 3).
- More precise wording of the Merchant's rights in the data (Clause 1), and Cliprz's responsibility extended to cover Clauses 3 to 10 (Clause 14).
When upgrading to Agent version 2.3.0, the Agent shows this text and asks for acceptance again before syncing continues. The previous text is published on the version 1.0 agreement page.

When the Merchant accepts, the Agent records the version, the time of acceptance and the text fingerprint, and the same record is stored with the device details in the store's Cliprz account. The fingerprint is calculated from the Arabic agreement text as shown in the Agent, encoded in UTF-8, after normalizing line endings and trimming leading and trailing whitespace. Any change to the text, even a single character, changes the fingerprint.
When the agreement changes, we increase the version number, the Agent shows the new text to the Merchant and asks for acceptance again, and previous versions remain published for reference.
